Vice President, Finance & Accounting

Position Overview

Reporting directly to the President & CEO, the Vice President, Finance & Accounting will provide hands-on leadership for the Society’s financial function, including responsibility for developing budgets, producing timely financial forecasts, managing the month-end financial closing and reports, overseeing the accounts receivable and accounts payable functions, maintaining an effective system of financial and other internal controls, approving payroll, preparing the Form 990 and other public reports, reviewing contracts, and managing a full-time Senior Accountant. 

The Vice President, Finance & Accounting will be a key member of the Society’s senior management team, working closing alongside the President & CEO, the General Counsel & Chief Knowledge Officer, the Chief Membership and Marketing Officer, as well as others on the staff in developing and executing the Society’s strategic and operating plans.  The individual will serve as the primary management-level liaison to the Society’s independent auditor, investment manager, and other third-party financial institutions and vendors.   The Vice President, Finance &  Accounting will also have primary responsibility for supporting the Society’s Audit and Finance Committee and for reporting to the Society’s Board of Directors on financial matters.

Overview of Society

Founded in 1946, the Society for Corporate Governance is a 501(c)(6) association of approximately 3,700 members dedicated to effective corporate governance by empowering professionals with programming, content, benchmarking, peer-to-peer networking, professional development opportunities, as well as engaging with policymakers on corporate governance and disclosure matters at the federal, state, and international levels.

Responsibilities

The responsibilities of the Vice President, Finance & Accounting, will include the following:

Planning, Budgeting, and Reporting

• Lead the development of the Society’s annual operating plan and budget as part of a multi-year process.
• Partner with CEO and other staff members in multi-year strategic planning and ongoing analysis of risks and opportunities
• Prepare and review monthly financial results with the CEO and other members of senior management
• Prepare and review with the CEO, other members of senior management, the Audit and Finance Committee, and Board quarterly financial results and full-year forecasts vs. prior year and budget.

Accounting & Controls

• Establish and maintain effective accounting policies, financial controls, and other internal controls.
• Develop, maintain, and oversee investment policy and investments.
• Oversee accounts payable/receivable functions.
• Review and (as appropriate) approve, from a financial perspective, contracts and bills.
• Approve payroll.

Management

• Work closely with the General Counsel & Chief Knowledge Officer, Chief Membership and Marketing Officer, and other staff members to evaluate, from a financial and strategic perspective, opportunities, initiatives, and investments as they arise.
• Responsible for supervising a Senior Accountant and for interfacing with independent auditor, investment managers, and other third-party financial service providers
• With the support of the Senior Accountant, partner with Chief Membership and Marketing Officer and Senior Membership Manager to support membership billing and renewals, tracking deferred income, monthly dues recognition, and financial modeling for membership growth and dues increases. 
• Collaborate and build strong relationships at the national and chapter level, as well as with the Society’s partners and vendors.
• Serve as a role model for the Society’s culture of transparency, accountability, respect, and continuous learning.

Other

• Perform such other responsibilities as may be assigned from time to time by the President & CEO or the Audit and Finance Committee to support the achievement of the Society’s strategic, operating, and financial goals.

Salary, Benefits, Location

This is a full-time position in NYC. The base salary range for this position is $150,000 to $165,000, commensurate with experience and final location. The position is bonus eligible. The Society works a 35-hour work week and we offer a generous benefits package including health, dental and vision, 401k match, and paid time off, in addition to federal holidays.
